Terms of Service

These Terms of Service (Terms) govern your access to and use of the website, services, and any related content provided by VSPEC INC (VSpec, we, our, or us), a California corporation headquartered at 12312 Euclid St, Garden Grove, CA 92840-3308, United States. By accessing or using our website at https://www.vspec.lat (the Site) or engaging our services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or our services.

1. Acceptance of Terms

By accessing the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and VSPEC INC. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to refuse service to anyone for any reason at any time. Your use of the Site is at your sole risk.

2. Services Description

VSPEC INC provides Computer Systems Design and Integrated Systems Design services, including but not limited to:

  • Systems architecture planning and design
  • Technical specifications documentation
  • Quality assurance and testing protocols
  • Infrastructure design and deployment
  • Compliance engineering and regulatory alignment
  • Integration standards development

The scope, deliverables, timeline, and fees for any specific engagement will be set forth in a separate written agreement or Statement of Work executed by both parties. The information on this Site is for general informational purposes only and does not constitute a binding offer.

3. Intellectual Property Rights

Our IP: All content on the Site, including text, graphics, logos, icons, images, software, and the overall design and layout, is the exclusive property of VSPEC INC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws. The VSPEC name, logo, and tagline are trademarks of VSPEC INC.

Deliverables: Intellectual property rights to deliverables created during a client engagement will be governed by the terms of the applicable Statement of Work. Unless otherwise agreed, VSPEC INC retains ownership of its pre-existing intellectual property, methodologies, and tools.

Restrictions: You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Site without our prior written consent.

4. User Obligations

When using our Site and services, you agree to:

  • Provide accurate, current, and complete information when contacting us or engaging our services
  • Use the Site only for lawful purposes and in compliance with all applicable laws and regulations
  • Not attempt to gain unauthorized access to our systems, servers, or networks
  • Not interfere with or disrupt the operation of the Site or its underlying infrastructure
  • Not transmit any malicious code, viruses, or harmful content
  • Not scrape, data mine, or use automated means to extract data from the Site without permission

Violation of any of these obligations may result in termination of your access to the Site and potential legal action.

5. Payment Terms

Fees for our professional services are specified in the applicable Statement of Work or service agreement. Payment terms, including invoicing schedules, due dates, and accepted payment methods, will be defined in the governing agreement. All fees are in United States dollars unless otherwise stated.

Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. You are responsible for any applicable sales, use, or value-added taxes.

6. Confidentiality

In the course of our engagement, each party may receive confidential information from the other. Confidential Information includes any non-public information, whether technical, business, or otherwise, that is designated as confidential or that reasonably should be understood to be confidential.

Both parties agree to:

  • Protect the other’s Confidential Information with the same degree of care used to protect their own confidential information (but no less than reasonable care)
  • Use Confidential Information solely for the purpose of fulfilling obligations under the applicable agreement
  • Not disclose Confidential Information to third parties without prior written consent, except as required by law

Confidentiality obligations survive termination of the agreement for a period of three (3) years, or indefinitely for trade secrets.

7. Limitation of Liability

To the fullest extent permitted by applicable law, VSPEC INC and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm, arising from or related to your use of the Site or our services, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising out of or relating to these Terms or our services shall not exceed the greater of (a) the fees paid by you to VSPEC INC in the twelve (12) months preceding the claim, or (b) one thousand United States dollars (USD $1,000).

8. Disclaimers

The Site and all content are provided on an as is and as available basis without warranties of any kind, either express or implied. VSPEC INC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not guarantee that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You assume full responsibility for your use of the Site.

9. Termination

We reserve the right to suspend or terminate your access to the Site at our sole discretion, without prior notice, for any reason, including violation of these Terms. Upon termination, all provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including intellectual property rights, disclaimers, limitations of liability, and confidentiality obligations.

For service engagements, termination provisions will be set forth in the governing Statement of Work.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Orange County, California.

11. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally. The party raising a dispute shall provide written notice to the other party describing the nature of the dispute. Both parties shall engage in good-faith negotiations for a period of at least thirty (30) days.

If the dispute cannot be resolved informally, it shall be resolved through binding arbitration in Orange County, California, administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties. Judgment on the arbitration award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in court to prevent irreparable harm.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Changes will be effective immediately upon posting to the Site. The “Effective Date” at the top of this page will be updated accordingly. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
